Protected Content also includes any derivative works, adaptations, revisions, or substantially similar works based upon those materials.

“Digital Content” - Digital Content includes all electronic content made available by Magic by Vincent LLC, whether streamed, downloaded, emailed, password protected, or otherwise delivered electronically.

“Performance Rights” - Refers to the limited permission granted to the original purchaser to publicly perform a purchased effect.

Performance Rights do not include permission to teach, expose, reproduce, manufacture, publish, distribute, sublicense, reverse engineer, or otherwise exploit any Protected Content unless expressly authorized in writing by Magic by Vincent LLC.

“Authorized Retailer” - An Authorized Retailer is a business that has been expressly authorized by Magic by Vincent LLC to sell our Products. Policies applicable to purchases made directly from Magic by Vincent LLC may differ from those applicable to purchases made through an Authorized Retailer.

“Discount Code” - A Discount Code is any promotional, purchaser-specific, or other discount code issued by Magic by Vincent LLC for use on this Website. Unless expressly stated otherwise, Discount Codes remain the property of Magic by Vincent LLC, are intended only for their authorized recipient, and may not be transferred, shared, sold, or otherwise distributed without our permission.

Placing an order through this Website does not automatically constitute acceptance of that order. Orders are considered accepted once they have been reviewed, processed, and prepared for fulfillment by Magic by Vincent LLC.

6. Pricing & Payment

Unless otherwise stated, all prices displayed on this Website are listed in U.S. Dollars (USD).

Payments made through this Website are securely processed by Stripe. Depending on your device, browser, and payment method, additional payment options such as Apple Pay, Google Pay, or supported credit and debit cards may also be available through Stripe.

Magic by Vincent LLC does not receive or store your complete payment card information.

We make every reasonable effort to ensure that pricing, product descriptions, promotional offers, and other information displayed on this Website are accurate. However, occasional typographical errors, pricing inaccuracies, or technical errors may occur.

We reserve the right to correct any pricing, product description, promotional offer, or other information at any time, including after an order has been placed. If a pricing error materially affects your order, we will notify you as soon as reasonably possible and provide you with the option to proceed at the corrected price or cancel your order for a full refund.

Unless expressly stated otherwise, promotional offers, Discount Codes, and other discounts may not be combined.

7. Performance Rights

One of the primary purposes of our Products is to allow purchasers to perform the effects they have purchased.

Unless expressly stated otherwise in writing, the purchase of an original Product from Magic by Vincent LLC includes: • Ownership of the physical Product received. • A limited, personal, non-transferable license to access the associated Instructional Materials. • Performance Rights granted to the original purchaser.

Performance Rights allow the original purchaser to perform the purchased effect for audiences in personal, professional, commercial, or entertainment settings, including live performances, private events, corporate events, television appearances, online performances, and similar venues.

Performance Rights are granted solely to the original purchaser and do not transfer ownership of the underlying intellectual property, Protected Content, secret methods, manufacturing designs, Instructional Materials, or any other rights not expressly granted in these Terms.

Unless expressly authorized in writing by Magic by Vincent LLC, purchase of a Product does not grant permission to: • Teach or explain the method. • Publicly expose the secret. • Manufacture or reproduce the Product or any of its components. • Reproduce or distribute the Instructional Materials. • Publish tutorials or explanations. • Share access to password-protected content. • Reverse engineer the Product for commercial purposes. • Create competing products that copy or substantially incorporate any Protected Content.

Owning a Product, having access to the Instructional Materials, and receiving Performance Rights are three separate rights granted under these Terms. Ownership of one does not imply ownership of the others.

Nothing in this section limits your ability to perform the effect as intended under the Performance Rights granted with your purchase.

8. Intellectual Property

Magic by Vincent LLC invests significant time, creativity, and resources into developing original Products, performances, Instructional Materials, and other Protected Content. We respectfully ask that all visitors and customers honor those efforts by respecting the intellectual property rights associated with our work.

Unless expressly stated otherwise in writing, all Protected Content remains the exclusive property of Magic by Vincent LLC or its respective owners and is protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

Nothing contained on this Website or included with the purchase of a Product transfers ownership of any Protected Content to the purchaser.

Purchasing a Product grants only the rights expressly described in these Terms. Any rights not expressly granted remain reserved by Magic by Vincent LLC.

Nothing in this section limits the Performance Rights granted to the original purchaser under Section 7 of these Terms.

9. Instructional Materials, Digital Access & Acceptable Use

Many of our Products include access to Instructional Materials designed to help the original purchaser learn and perform the effect as intended.

Instructional Materials may include password-protected webpages, streaming videos, written instructions, downloadable resources, PDFs, images, graphics, future updates, supplementary educational content, and other Digital Content provided by Magic by Vincent LLC.

Access to these Instructional Materials is provided as a limited, personal, non-transferable license granted solely to the original purchaser. This license may not be assigned, transferred, shared, sold, inherited, sublicensed, or otherwise made available to any other person or organization without our prior written permission.

Unless expressly stated otherwise, purchase of a Product includes access to the associated Instructional Materials for as long as they remain available through Magic by Vincent LLC. While we intend to make these materials available for the foreseeable future, we reserve the right to modify, expand, reorganize, replace, or discontinue any Instructional Materials or Digital Content at any time.

Future updates, additions, or improvements to existing Instructional Materials may be provided at our sole discretion. Nothing in these Terms requires Magic by Vincent LLC to provide future updates, additional content, new features, or future Products at no additional cost. Separate future Products, major revisions, or substantially different instructional content may require a separate purchase.

Temporary interruptions in access may occasionally occur due to maintenance, software updates, hosting providers, technical issues, security measures, or circumstances beyond our reasonable control. We will make reasonable efforts to restore access as promptly as practical whenever possible.

10. Password Security & Account Access

Certain Products include access to password-protected Instructional Materials.

Any password or other access credentials provided by Magic by Vincent LLC are confidential and are intended solely for the original purchaser. Access credentials may not be shared, transferred, sold, published, posted online, or otherwise provided to any other person or organization.

You agree not to: • Share your password or access credentials with any other person. • Publish or disclose your password in any public or private forum. • Include your password or access credentials in reviews, videos, social media posts, or online discussions. • Sell, transfer, or otherwise distribute access to password-protected Instructional Materials. • Attempt to bypass or circumvent any access controls or security measures protecting our Instructional Materials.

If you purchased directly from Magic by Vincent LLC and we are able to verify your purchase, we may, at our sole discretion, assist you in recovering access to your Instructional Materials if your password has been lost or forgotten.

Magic by Vincent LLC reserves the right to change passwords, access credentials, authentication methods, or other security procedures whenever reasonably necessary to protect our Products, Instructional Materials, Digital Content, or Protected Content.

If we reasonably believe that unauthorized access, password sharing, misuse, or other violations of these Terms have occurred, we reserve the right to suspend, revoke, or modify access to any password-protected content without prior notice.

11. Discount Codes

Magic by Vincent LLC may offer promotional Discount Codes, purchaser-specific Discount Codes, or other special offers from time to time.

Unless expressly stated otherwise, Discount Codes: • Are intended only for their authorized recipient. • May not be shared, transferred, sold, or otherwise distributed. • May only be used in accordance with their intended purpose. • Have no cash value. • Remain the property of Magic by Vincent LLC.

We reserve the right to modify, deactivate, refuse, or cancel any Discount Code or any order involving a Discount Code if we reasonably believe the code has been shared, transferred, misused, obtained through unauthorized means, or otherwise used in violation of these Terms.

Nothing in this section requires Magic by Vincent LLC to offer or continue offering any Discount Code, promotional offer, or pricing program.

12. Acceptable Use

The Products, Instructional Materials, Digital Content, and other Protected Content made available by Magic by Vincent LLC are intended to help the original purchaser learn and perform the effect while preserving the originality and integrity of the methods involved.

Unless expressly authorized in writing by Magic by Vincent LLC, you may not: • Teach, explain, or otherwise disclose the secret method behind any Product. • Publicly expose any secret, gimmick, principle, or technique used in connection with our Products. • Manufacture, reproduce, duplicate, or commercially produce any Product, gimmick, accessory, refill component, or other product component. • Reverse engineer any Product for the purpose of reproducing, copying, or commercially exploiting it. • Copy, reproduce, distribute, publish, or otherwise share any Instructional Materials or Protected Content. • Record, download, archive, mirror, or otherwise reproduce password-protected videos, webpages, or other Digital Content. • Capture, publish, or distribute screenshots of password-protected Instructional Materials or Digital Content. • Upload any Instructional Materials, Protected Content, password-protected content, or Digital Content to artificial intelligence systems, machine learning models, or similar technologies for training, analysis, reproduction, or the creation of derivative works. • Use automated tools or software to bypass, capture, reproduce, or preserve protected streaming content without our prior written permission. • Use any Product, Instructional Materials, or Protected Content in any manner that infringes upon the intellectual property rights of Magic by Vincent LLC or any third party.

Nothing in this section restricts your ability to study a Product you have lawfully purchased or to perform the effect in accordance with the Performance Rights granted under these Terms.

13. Reviews, Social Media & Public Content

Magic by Vincent LLC continually works to provide high-quality Products and services. However, availability may change from time to time.

We reserve the right to modify, discontinue, replace, or limit any Product, service, feature, or offering available through this Website at any time without prior notice.

Any processing times displayed on this Website are estimates only and may vary due to order volume, travel, conventions, holidays, supplier availability, manufacturing delays, shipping carrier delays, or other circumstances beyond our reasonable control.
